What you get

Cooley GO is the startup resource site of the law firm Cooley LLP. Its documents library lists, by stage:

• Start: Delaware, Nevada and public benefit corporation incorporation packages.
• Create and protect: advisor, consulting and employee confidential information and invention assignment agreements, and several NDAs (mutual, one-way, US, UK, Singapore).
• Build a team: employee offer letters and a UK offer letter and employment agreement package.
• Raise funds: SAFE financing document generators (US, UK and Singapore), NVCA financing documents, convertible note term sheets, cap table samples, a seed equity package and an accredited investor questionnaire.

The SAFE generator page says you can prepare your own customised set of SAFE documents at no cost, in both the original pre-money and the newer post-money forms.

Who qualifies

Anyone can use the documents. The licence in the terms of use is limited, personal and for your own internal business use; you may not resell or redistribute the forms.

Cooley GO is the best free starting point for standard startup documents, especially SAFEs and invention assignments. Use it to understand and draft; have a lawyer check anything you will sign with investors.
